SAR Intelligenceby SAR-SOFT

Terms of service

These terms apply when you use SAR Intelligence: the app at app.sar-soft.com, the MCP address at mcp.sar-soft.com and paid plans. We wrote them as plainly as we could; where something applies only to businesses or only to consumers, we say so.

Updated

Draft pending legal review: this text may change before the service launches.

1. Who we are and who these terms apply to

These terms are an agreement between you and SAR-SOFT, the provider of SAR Intelligence (“SAR”, “we”, “us”). Our details:

Name
SAR-SOFT
VAT number (ΑΦΜ)
—
Tax office (ΔΟΥ)
—
Address
—

By creating an account, or by using SAR Intelligence on behalf of an organization, you accept these terms. If you accept them for a business, you confirm that you may bind it, and “you” means that business.

A consumer is a natural person acting for purposes outside their trade, business, craft or profession. Everyone else, including sole traders who use SAR for their work, is a business customer. SAR Intelligence is made mainly for businesses.

2. What the service does, and what it does not

SAR Intelligence lets an organization connect data sources it controls (Google Analytics, Google Search Console, WordPress with WooCommerce, Magento) to AI apps it authorizes (such as OpenAI's ChatGPT and Anthropic's Claude), through the Model Context Protocol (MCP), so those apps can answer questions about its business.

  • SAR has no AI model of its own. Answers are written by the AI app you use, under its provider's terms. SAR fetches the data that app asks for, only from the source and the property or site you chose, and returns it to that app.
  • Every source connects read-only by default. An owner or admin of your organization can allow changes to a Google Analytics or WordPress source. Search Console and Magento always stay read-only.
  • Where changes are allowed, anything that would go live or change a source's configuration waits for a person in your organization to approve it in SAR. WordPress changes can be undone for 30 days.
  • AI answers can be wrong, incomplete or out of date. They are not professional, financial, legal or tax advice. Check in the source any figure you will base a decision on.

You are responsible for how your organization uses its AI apps, for the questions asked and for what you do with the answers. Before approving a change, check that it is what you want: an approved change is your instruction, and we carry it out as approved.

3. Accounts, organizations and roles

  • You must be at least 18 to have an account. Each account belongs to one person; give true details and keep them up to date.
  • Keep your sign-in details secure. We recommend two-factor authentication or a passkey. If you think your account has been misused, tell us at once at [email protected].
  • The service is organized by organization: sources, AI apps and the team belong to one organization. The roles Owner, Admin, Analyst and Member decide who sees and manages connections, the team, AI access, activity and settings.
  • An organization's owner decides who has access and is responsible for what the members they invited do. Each AI app connection reaches one organization only.

4. Plans, prices and VAT

There is a free plan and there are paid plans. What each plan includes, its limits and its price are shown on the pricing page and in the app at the time of purchase, and those apply to your subscription.

  • Prices are in euros. For business customers they are shown excluding VAT.
  • Business customers in Greece pay Greek VAT at 24% on top.
  • A business in another EU member state, with a VAT number confirmed through VIES, is invoiced without VAT under the reverse-charge mechanism (Article 196 of Directive 2006/112/EC) and accounts for the VAT itself.
  • Consumers see and pay the price including VAT.

If we change a plan's price, we tell you by email at least 30 days before the new price applies to your next renewal, so you can cancel before it.

5. Billing, renewal and cancellation

  • Subscriptions are billed monthly or yearly, in advance, through our payment provider, Stripe.
  • A subscription renews automatically for the same period until you cancel it.
  • You can cancel at any time in your account's billing settings. The plan stays active until the end of the period you have paid for, and the free plan applies after that. No connection is deleted because you cancel.
  • We do not refund partial periods, except where the law requires it, such as the consumer's right of withdrawal (section 9), or where these terms say so.

6. Free trial

Each person may try the Pro plan once, for 14 days, without a card. When the trial ends, the account returns to the free plan unless you have subscribed. Nothing is disconnected. The trial is not a paid contract and costs you nothing. We may refuse or end a trial that is being abused, for example through several accounts.

7. Failed payments and daily limits

If a renewal payment fails, we tell you, and your plan stays as it is for a grace period (currently 7 days, as the pricing page shows) so you can update your payment method. After that the free plan's limits apply until the payment succeeds. No connection is disconnected and no data is deleted because a payment failed.

Each plan includes a number of actions per day (UTC). An action is a request by an AI app that reaches one of your sources; a request that asks several sources can count as more than one. Requests that only discover what is connected, and requests that are refused, do not count. When the limit is reached, further requests are refused until midnight UTC or until you change plan.

8. Invoices and receipts

For each payment we issue a Greek tax document: an invoice to a business customer, with the tax details it gives us, and a receipt to a consumer. The documents are transmitted to the Greek tax authority's (AADE) myDATA platform, as Greek law requires, and are available in your billing settings. Stripe's payment confirmation is not a tax document.

You are responsible for giving correct billing details. We check EU VAT numbers through VIES, and the tax treatment of each payment is based on the details you declared.

9. Right of withdrawal for consumers

If you are a consumer, you have the right to withdraw from a subscription within 14 days of the day the contract is concluded, without giving any reason (Directive 2011/83/EU and Greek Law 2251/1994 on consumer protection). To withdraw, tell us by a clear statement before the period ends, for example by email to [email protected] or with the model form in section 18. It is enough to send your statement before the 14 days have passed.

Starting the service at once. The service starts as soon as you subscribe. So at checkout we ask you to request expressly that the service begin during the withdrawal period, and to confirm that you understand that:

  • if you withdraw, you will pay an amount proportionate to what has been provided until you told us you were withdrawing, compared with the full coverage of the contract (Article 14(3) of the Directive); and
  • you lose the right of withdrawal once the service has been fully performed (Article 16(a) of the Directive).

If you withdraw, we refund what you paid, less the proportionate amount for the period up to your withdrawal, within 14 days of receiving your statement, using the same means of payment and at no other cost. The free trial costs nothing and needs no withdrawal. Business customers have no right of withdrawal.

10. Acceptable use

You may not:

  • connect a source you are not allowed to connect, or invite people who should not see that data;
  • use SAR in breach of the law or of other people's rights, including data protection law;
  • try to reach another organization's data, get around limits, approvals or security measures, or test the service for vulnerabilities without our written agreement;
  • overload, copy or reverse engineer the service, except as far as the law allows;
  • use it to spread malware, spam or unlawful content.

If you connect a source that holds your customers' personal data, such as Magento customer records, you need a lawful basis to let your AI app read it.

11. Your data

The data in your sources and in your organization stays yours. You allow us to access, process and transmit it only to provide the service as you instruct: to read when your AI app asks, to send the answers to that app, and to carry out the changes you allowed and approved.

For personal data in your sources we act as your processor, under the data processing terms, which form part of these terms for business customers. Our own processing as controller (accounts, billing, this website) is described in the privacy policy. We do not sell your data and do not use it to train AI models.

We may use measurements of how the service is used, which do not contain the content of your data, to run, secure and improve it. If you send us ideas or feedback, we may use them without any obligation to you.

12. Third-party services

SAR works with services that others provide: Google (Analytics, Search Console, Google sign-in), WordPress and WooCommerce (software that runs on your own hosting), Magento / Adobe Commerce, OpenAI's ChatGPT, Anthropic's Claude, and Stripe for payments. Your use of them is governed by their own terms and privacy policies, between you and them.

We are not responsible for their availability, for their changes or for what they do with the data they receive. When a provider changes or limits its interface, parts of SAR may stop working. Whatever an AI app receives through SAR is handled by its provider under its own terms. The SAR Intelligence plugin for WordPress is governed by the licence that comes with it.

13. Availability and changes to the service

We work to keep SAR available, but we give no uptime guarantee (SLA). Maintenance may interrupt the service; we announce planned maintenance in advance where we can.

We may change, add or remove features. If we remove a material feature of a paid plan, we tell you in advance, and you may cancel and receive back the proportionate amount for the prepaid period you will not use.

14. Suspension and termination

  • You can stop at any time: disconnect sources and AI apps, cancel your subscription, delete your organization or your account.
  • We may suspend access, or a source or AI app connection, immediately where needed to prevent harm to the service, other customers or third parties, where the law requires it, or for a serious or repeated breach of these terms. In other cases we warn you first and give you time to put it right.
  • We may end the contract for a material breach not put right within 14 days of our notice, or without reason on 30 days' notice, in which case we refund the proportionate amount you prepaid.
  • When the contract ends, access ends and we delete the organization's data as the privacy policy and the data processing terms describe, except what the law requires us to keep, such as tax documents.

15. Liability

As far as the law allows, the service is provided “as is” and “as available”. We are not liable for indirect or consequential loss, loss of profit or revenue, loss of data or goodwill, or for loss caused by AI answers, by changes you approved or by third-party services.

Our total liability to a business customer, for all causes connected with these terms, is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits liability that the law does not allow to be limited, such as liability for intent or gross negligence (Article 332 of the Greek Civil Code) or for death or personal injury. If you are a consumer, these limits apply only as far as consumer law allows, and you keep all the rights the law gives you, including those for a digital service that does not conform to the contract.

A business customer will compensate us for third-party claims that arise from a source it connected without the right to, or from a breach of section 10.

16. Changes to these terms

We may update these terms. For material changes we email account owners at least 30 days before they take effect, and the date at the top of this page shows the latest version. If you do not agree, you can cancel before the changes take effect. Changes that are not material, such as clarifications or updates for new legislation, can take effect at once.

17. Governing law and disputes

These terms are governed by Greek law. The courts of Thessaloniki have jurisdiction over any dispute.

If you are a consumer, you keep the protection of the mandatory rules of the law of the country where you live, and you may also bring proceedings in the courts where you live. You can also turn to the Greek Consumer Ombudsman or another certified alternative dispute resolution body. Please write to us first: most things are resolved quickly.

18. Model withdrawal form

Complete and send this form to [email protected] only if you are a consumer and wish to withdraw from the contract:

To SAR-SOFT: I hereby give notice that I withdraw from my contract for the provision of the SAR Intelligence service. Contract concluded on: … Name: … Account email: … Address: … Date: … (Signature, only if this form is sent on paper.)
